Service Name: Fluxentra
Operator: An individual operating this Service ("Service Operator," "we," "us," or "our")

By accessing, browsing, or using Fluxentra (the "Service"), you ("User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must immediately discontinue use of the Service.

1. ACCEPTANCE OF TERMS

These Terms constitute a legally binding agreement between you and the Service Operator. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. NATURE OF SERVICE

2.1 Service Description

Fluxentra is a Software-as-a-Service (SaaS) platform providing DeFi analytics, portfolio tracking, and data visualization tools, including:

  • Portfolio and liquidity position analytics
  • Profit and loss (PnL) calculations
  • Yield metrics and impermanent loss tracking
  • Token, pool, and on-chain data aggregation
  • Access to third-party decentralized exchange (DEX) protocols via user interface

2.2 Non-Custodial Nature

Fluxentra is a non-custodial service. We:

  • Do NOT custody, hold, control, or have access to user funds
  • Do NOT hold or access user private keys or seed phrases
  • Do NOT execute, initiate, or process blockchain transactions on behalf of users
  • Do NOT act as a broker, dealer, financial institution, or money transmitter
  • Do NOT provide financial, investment, tax, or legal advice

All blockchain interactions occur directly between the User's self-custodied wallet and decentralized protocols. Users retain full control and responsibility for their digital assets at all times.

3. NO FINANCIAL INTERMEDIATION

3.1 Direct Protocol Interaction

When Users interact with decentralized protocols through the Service interface:

  • All transactions are executed directly between the User's wallet and the underlying blockchain protocol
  • The Service Operator does NOT intermediate, route, process, or facilitate the transfer of funds
  • The Service Operator does NOT receive, hold, or control user assets during any transaction
  • All swaps, trades, and liquidity operations occur on-chain via smart contracts operated by third parties

3.2 Interface-Only Service

Fluxentra provides only:

  • A user interface to access third-party protocols
  • Data aggregation and analytics tools
  • Subscription-based access to premium features

We do NOT:

  • Process payments for swaps or trades
  • Act as a counterparty to any transaction
  • Guarantee execution, pricing, or outcomes of blockchain transactions
  • Provide liquidity or market-making services

4. NETWORK & PROTOCOL FEES

4.1 Third-Party Protocol Fees

When Users interact with decentralized protocols through the Service interface, they may incur fees charged by:

  • Blockchain networks (gas fees)
  • Decentralized exchange protocols (protocol fees, liquidity provider fees)
  • Smart contracts (execution fees)

These fees are:

  • Set and collected by third-party protocols and networks
  • NOT controlled, set, or received by the Service Operator
  • Paid directly from the User's wallet to the respective protocol or network
  • Non-refundable and outside the scope of these Terms

4.2 Smart Contract Fee Structure

Certain third-party smart contracts accessed through the Service may include fee mechanisms that direct a portion of transaction value to designated addresses. These fee structures are:

  • Programmed into the smart contract code by third parties
  • Executed automatically by the blockchain protocol
  • NOT processed, collected, or intermediated by the Service Operator
  • Publicly verifiable on the blockchain

Users acknowledge that interacting with such smart contracts may result in fees being distributed according to the contract's programmed logic.

4.3 User Acknowledgment

By using the Service to interact with decentralized protocols, Users acknowledge and agree that:

  • All fees are determined by third-party protocols and smart contracts
  • The Service Operator does NOT receive, process, or control protocol fees
  • Users are responsible for reviewing and understanding fee structures before initiating transactions
  • All fees are non-refundable
  • The Service Operator is NOT liable for fee amounts, changes, or disputes

5. SUBSCRIPTIONS & BILLING

5.1 Subscription Plans

Fluxentra offers subscription-based access to premium features:

  • Free Plan: Basic analytics and data access
  • Pro Monthly Plan: Enhanced analytics, advanced features, and premium data access
  • Pro Annual Plan: Enhanced analytics, advanced features, and premium data access with annual billing

5.2 Billing and Payment Processing

  • All subscription payments are processed exclusively through Stripe, Inc. ("Stripe")
  • Subscriptions renew automatically unless canceled
  • Payment methods are stored and processed by Stripe in accordance with Stripe's Terms of Service and Privacy Policy
  • The Service Operator does NOT store, process, or have access to full payment card details

5.3 Subscription Fees

  • Subscription fees are charged in advance for each billing period
  • Fees are non-refundable except as required by applicable law
  • The Service Operator reserves the right to modify subscription pricing with 30 days' notice
  • Price changes do NOT affect active subscriptions until the next renewal period

5.4 Failed Payments

If a subscription payment fails:

  • User access to premium features may be suspended or downgraded to the Free Plan
  • The Service Operator may attempt to re-process the payment
  • Users are responsible for maintaining valid payment information

5.5 Cancellation

  • Users may cancel subscriptions at any time through their account settings
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods
  • Access to premium features continues until the end of the paid period

5.6 Separation of Services

IMPORTANT: Subscription fees paid through Stripe are for SaaS access only and are completely separate from any blockchain transactions or protocol interactions. Stripe payments do NOT:

  • Fund blockchain transactions
  • Pay for swaps, trades, or liquidity operations
  • Cover network or protocol fees
  • Provide access to or control over blockchain assets

6. USER RESPONSIBILITIES

6.1 Wallet Security

Users are solely responsible for:

  • Securing their cryptocurrency wallet and private keys
  • Maintaining the confidentiality of seed phrases and passwords
  • All transactions initiated from their wallet
  • Verifying transaction details before signing

6.2 Compliance

Users must:

  • Comply with all applicable laws and regulations
  • NOT use the Service for illegal activities, money laundering, terrorist financing, or sanctions violations
  • Ensure they are legally permitted to use cryptocurrency services in their jurisdiction
  • Report any suspicious activity to appropriate authorities

6.3 Prohibited Conduct

Users must NOT:

  • Attempt to hack, attack, or disrupt the Service
  • Reverse engineer, decompile, or extract source code
  • Scrape, copy, or clone the platform
  • Create derivative or competing products
  • Manipulate or bypass subscription restrictions
  • Interfere with other users' access to the Service
  • Use the Service to violate third-party rights

7. INTELLECTUAL PROPERTY

7.1 Ownership

All software, code, architecture, analytics models, user interface, design, branding, content, and documentation are the exclusive property of the Service Operator and are protected by copyright, trademark, and other intellectual property laws.

7.2 License

Subject to compliance with these Terms, the Service Operator grants Users a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal or internal business purposes only.

7.3 Restrictions

Users may NOT:

  • Copy, reproduce, or distribute any part of the Service
  • Create derivative works based on the Service
  • Remove or modify any proprietary notices
  • Use the Service to develop competing products

7.4 Enforcement

Violations of intellectual property rights may result in:

  • Immediate account termination
  • Legal action and pursuit of damages
  • Injunctive relief

8. THIRD-PARTY SERVICES

8.1 External Dependencies

The Service integrates with third-party services, including but not limited to:

  • Stripe (payment processing)
  • Blockchain networks (Ethereum, Polygon, Arbitrum, Base, etc.)
  • RPC providers (Alchemy, Infura, etc.)
  • Wallet connection protocols (WalletConnect, Wagmi)
  • Decentralized exchange protocols (Uniswap, etc.)

8.2 No Liability for Third Parties

The Service Operator is NOT responsible for:

  • Outages, downtime, or service interruptions of third-party services
  • Security breaches, exploits, or vulnerabilities in third-party protocols
  • Incorrect data, pricing, or information from external sources
  • Changes to third-party terms, fees, or availability
  • Loss of funds due to smart contract bugs or protocol failures

8.3 Third-Party Terms

Users are subject to the terms of service and privacy policies of all third-party services they interact with through the Service.

9. RISK DISCLOSURE

9.1 Blockchain Risks

Blockchain technology and cryptocurrency transactions involve significant risks, including but not limited to:

  • Volatility: Digital asset prices can fluctuate dramatically
  • Irreversibility: Blockchain transactions cannot be reversed or canceled
  • Network Congestion: Transactions may be delayed or fail during high network activity
  • Gas Fee Volatility: Transaction costs can spike unexpectedly
  • Smart Contract Risk: Bugs or vulnerabilities may result in loss of funds
  • Regulatory Risk: Legal status of cryptocurrencies varies by jurisdiction and may change

9.2 No Guarantees

The Service Operator does NOT guarantee:

  • Uptime or continuous availability
  • Accuracy of data, analytics, or pricing information
  • Successful execution of blockchain transactions
  • Profitability or financial outcomes
  • Security of third-party protocols or smart contracts

9.3 Assumption of Risk

BY USING THE SERVICE, YOU ACKNOWLEDGE AND ACCEPT ALL RISKS ASSOCIATED WITH BLOCKCHAIN TECHNOLOGY AND CRYPTOCURRENCY TRANSACTIONS. YOU AGREE THAT YOU USE THE SERVICE ENTIRELY AT YOUR OWN RISK.

10. DISCLAIMERS

10.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of information
  • Uninterrupted or error-free operation

10.2 No Financial Advice

Nothing in the Service constitutes financial, investment, tax, or legal advice. Users should consult qualified professionals before making financial decisions.

10.3 No Endorsement

The Service Operator does NOT endorse, recommend, or guarantee any tokens, protocols, or projects accessible through the Service.

11. LIMITATION OF LIABILITY

11.1 Maximum Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE OPERATOR'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF:

  • USD $100.00, OR
  • The amount paid by the User for subscriptions in the 12 months preceding the claim

11.2 Exclusion of Damages

THE SERVICE OPERATOR SHALL NOT BE LIABLE FOR:

  • Loss of funds, tokens, digital assets, or cryptocurrency
  • Loss of profits, revenue, or business opportunities
  • Loss of data or access to the Service
  • Indirect, incidental, consequential, special, or punitive damages
  • Damages arising from third-party services, protocols, or smart contracts
  • Damages resulting from user error, wallet compromise, or unauthorized access

11.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations apply to the maximum extent permitted by law.

10. Termination

The Service Operator may suspend or terminate access if:

  • Terms are violated
  • Abuse or suspicious activity occurs
  • Attempts to copy or reverse engineer the Service are detected

You may stop using the Service at any time.

11. Changes to These Terms

Terms may change at any time. Continued use means acceptance of the updated Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by applicable laws without regard to conflict of law principles.

Any disputes shall be resolved through:

  • Good faith negotiation
  • Binding arbitration if negotiation fails
  • You agree to resolve disputes individually and waive the right to participate in class actions

13. General Provisions

These Terms constitute the entire agreement between you and Fluxentra regarding the Service.

If any provision is found unenforceable, the remaining provisions remain in effect.

Failure to enforce any provision does not constitute a waiver of that provision.

12. INDEMNIFICATION

Users agree to indemnify, defend, and hold harmless the Service Operator, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • User's use or misuse of the Service
  • User's violation of these Terms
  • User's violation of applicable laws or regulations
  • User's violation of third-party rights
  • User's blockchain transactions or interactions with decentralized protocols

13. TERMINATION

13.1 Termination by Service Operator

The Service Operator may suspend or terminate User access to the Service immediately and without notice if:

  • User violates these Terms
  • User engages in fraudulent, abusive, or illegal activity
  • Required by law or regulatory authority
  • Service Operator ceases operations

13.2 Termination by User

Users may stop using the Service at any time. Subscription cancellations are governed by Section 5.5.

13.3 Effect of Termination

Upon termination:

  • User's license to use the Service immediately terminates
  • User must cease all use of the Service
  • Provisions that by their nature should survive termination shall survive

14. MODIFICATIONS TO TERMS

The Service Operator reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.

Material changes will be communicated via email (if provided) or prominent notice on the Service.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Service Operator is established, without regard to conflict of law principles.

15.2 Dispute Resolution

Any dispute arising out of or related to these Terms or the Service shall be resolved as follows:

  1. Informal Negotiation: Parties agree to attempt to resolve disputes through good faith negotiation for 30 days
  2. Binding Arbitration: If negotiation fails, disputes shall be resolved through binding arbitration
  3. Individual Basis: Disputes must be brought on an individual basis. Users waive the right to participate in class actions

15.3 Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized use of the Service.

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between Users and the Service Operator regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16.3 Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

Users may not assign or transfer these Terms or any rights hereunder without the Service Operator's prior written consent. The Service Operator may assign these Terms without restriction.

ACKNOWLEDGMENT

BY USING FLUXENTRA, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.

YOU FURTHER ACKNOWLEDGE THAT:

  • Fluxentra is a non-custodial SaaS platform
  • All blockchain transactions occur directly between your wallet and third-party protocols
  • The Service Operator does NOT custody, control, or intermediate your funds
  • Stripe is used exclusively for SaaS subscription billing
  • You assume all risks associated with blockchain technology and cryptocurrency transactions
  • You are responsible for your wallet security and compliance with applicable laws
